End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you and Rock Stars Unlimited Ltd ("Rock Stars Unlimited", "we", "us", or "our") governing your use of the Sequence Tool desktop application, including any updates that replace or supplement it (the "Software"). Use of our website, account services, and other online services is also governed by our Terms of Service and Privacy Policy.
By downloading, installing, or using the Software, you agree to this EULA. If you do not agree, do not download, install, or use the Software.
1. LICENSE GRANT
Subject to your compliance with this EULA and any applicable purchase terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on the number of devices permitted by your license for your personal or internal business use.
If you obtained the Software through the Mac App Store, the license is limited to use on Apple-branded products that you own or control and as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. The Software may also be accessed and used by other accounts associated with the purchaser where permitted through Family Sharing, volume purchasing, or other purchasing or sharing mechanisms Apple makes applicable to the Software.
2. RESTRICTIONS
Except to the extent expressly permitted by applicable law, you may not: (a) copy, modify, or create derivative works of the Software; (b) reverse-engineer, decompile, or disassemble the Software; (c) rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or your rights under this EULA; (d) remove or alter proprietary notices; (e) circumvent licensing, security, or device-limit controls; or (f) use the Software unlawfully or in violation of any third-party rights.
If you obtained the Software through the Mac App Store, you must not use it in a way that conflicts with the Apple Media Services Terms and Conditions or other usage rules applicable to the Mac App Store.
3. PRIVACY AND DATA
The Software may process personal data and may collect optional product analytics and error reporting where you have given consent, as described in our Privacy Policy at https://sequencetool.com/legal/privacy/. The Privacy Policy explains what we collect, why we collect it, and your choices. Please read it alongside this EULA.
4. OWNERSHIP
We and our licensors retain all right, title, and interest in and to the Software and all copies of it. This EULA grants a license to use the Software and does not transfer ownership or grant rights to our trademarks, trade names, or other intellectual property.
5. UPDATES, MAINTENANCE, AND SUPPORT
We may provide updates, patches, or new versions of the Software. Updates may be subject to this EULA or updated terms made available to you. We are solely responsible for providing maintenance and support services for the Software as specified in this EULA or as required by applicable law.
If you obtained the Software through the Mac App Store, you and we acknowledge that Apple has no obligation whatsoever to furnish maintenance or support services for the Software.
6. WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, CONDITIONS, AND OTHER TERMS, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
We are solely responsible for any product warranties, whether express or implied by law, to the extent they have not been effectively disclaimed. If you obtained the Software through the Mac App Store and it fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Software to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Software. We are solely responsible for any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty.
Nothing in this EULA excludes, restricts, or limits rights or remedies that cannot lawfully be excluded, restricted, or limited, including mandatory consumer rights.
7. PRODUCT CLAIMS
We, not Apple, are responsible for addressing your claims or third-party claims relating to the Software or your possession or use of it, including: (a) product-liability claims; (b) claims that the Software fails to conform to an applicable legal or regulatory requirement; and (c) claims arising under consumer-protection, privacy, or similar legislation.
8. INTELLECTUAL PROPERTY CLAIMS
If a third party claims that the Software or your possession or use of it infringes that party's intellectual-property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of that claim.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS EULA WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
Nothing in this EULA limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law. Where a jurisdiction does not allow a limitation in this section, our liability is limited only to the greatest extent permitted by applicable law.
10. TERMINATION
This EULA continues until terminated. Your rights terminate automatically if you materially breach this EULA and, where the breach is capable of remedy, fail to remedy it within 14 days after notice. We may suspend or terminate your license immediately where required by law, to protect our rights or those of others, or where you use the Software unlawfully or seriously breach this EULA, including by circumventing licensing or device limits. If we terminate for another reason, we will give at least 30 days' prior written notice.
On termination, you must stop using the Software and delete all copies in your possession or control. Provisions that by their nature should survive termination, including ownership, warranty disclaimers, liability limitations, and dispute provisions, will survive.
11. THIRD-PARTY SERVICES AND TERMS
You must comply with applicable third-party terms when using the Software, including the terms governing any platform, content, storage, network, account, or other third-party service you use with the Software.
12. THIRD-PARTY AND OPEN-SOURCE COMPONENTS
The Software includes third-party and open-source components. Required notices, attributions, and license texts are included with the Software, including in its application bundle and in-app legal notices. Those third-party licenses govern the relevant components to the extent required by their terms.
13. EXPORT AND LEGAL COMPLIANCE
The Software may be subject to export-control and sanctions laws. You agree not to export, re-export, transfer, or use the Software except in compliance with applicable law.
You represent and warrant that: (a) you are not located in a country or region subject to a United States Government embargo or designated by the United States Government as a country or region supporting terrorism; and (b) you are not listed on any United States Government list of prohibited or restricted parties.
14. APPLE-SPECIFIC ACKNOWLEDGMENTS
If you obtained the Software through the Mac App Store, you and we acknowledge and agree that:
(a) this EULA is concluded between you and Rock Stars Unlimited Ltd only, and not with Apple Inc. ("Apple");
(b) Rock Stars Unlimited Ltd, not Apple, is solely responsible for the Software and its content;
(c) Apple and its subsidiaries are third-party beneficiaries of this EULA; and
(d) upon your acceptance of this EULA, Apple will have the right, and will be deemed to have accepted the right, to enforce this EULA against you as a third-party beneficiary.
15. GOVERNING LAW AND JURISDICTION
This EULA is governed by the laws of England and Wales, without regard to conflict-of-law principles. The courts of England and Wales have exclusive jurisdiction over disputes arising from this EULA. This does not deprive you of mandatory protections or rights available under the laws or courts of your country or region of residence.
16. GENERAL
This EULA, together with any applicable purchase terms and the documents expressly incorporated into it, constitutes the agreement between you and us concerning the Software. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign this EULA without our prior written consent. We may assign it in connection with a merger, reorganization, or transfer of the relevant business or assets.
